Trade Terms & Conditions

1 General

These terms and conditions apply to all wholesale transactions between **Heath Court Ltd** (registered at Unit A 82 James Carter Road, Mildenhall, IP28 7DE) and any business entity ("The Customer") purchasing household goods. By placing an order, you agree to be bound by these terms.

2 Orders & Pricing

• All orders are subject to a **Minimum Order Quantity (MOQ)** as specified in our current catalog.
• Prices are quoted in GBP and exclude VAT unless otherwise stated.
• We reserve the right to adjust pricing without prior notice due to changes in manufacturing or shipping costs.
• Orders are only confirmed once we issue a formal Pro-forma Invoice or Order Confirmation.

3 Payment Terms

Standard payment terms are **Payment in Advance** for all new trade accounts. Credit terms may be applied for established partners following a successful credit check and at the sole discretion of Heath Court Ltd management.

4 Delivery & Logistics

Deliveries are dispatched from our warehouse in Mildenhall.

• Delivery dates provided are estimates and not guaranteed.
• Heath Court Ltd is not liable for delays caused by third-party freight carriers or customs.
• Risk of loss or damage passes to the Customer upon delivery to the specified address.

5 Claims & Returns

Any shortages or damages must be reported in writing within **3 working days** of receipt of goods. Damaged goods must be held for inspection or returned only upon written authorization. As a B2B wholesaler, we do not offer "sale or return" facilities.

6 Retention of Title

All goods remain the legal property of **Heath Court Ltd** until full payment has been received and cleared in our bank account.

7 Governing Law

These terms are governed by and construed in accordance with the laws of **England and Wales**. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
